These Terms of Service ("Terms") govern your use of the website allgoodsgroup.pl ("Website") and any services provided by ALLGOODSGROUP Sp z.o.o ("Company", "we", "us", "our"). By accessing our Website or engaging our services, you agree to be bound by these Terms in full.
1. Company Information
ALLGOODSGROUP Sp z.o.o is a company registered in Poland, operating in the field of e-commerce operations management, warehouse and PREP center services, and fulfillment logistics.
2. Scope of Services
The Company provides the following services, subject to individual agreements:
- Amazon FBA business launch and management: account creation, product research, listing optimization, PPC advertising management, and ongoing store operations
- eBay business launch and management: account setup, product sourcing, listing creation, promoted listings management, and daily operations
- PREP Center services: receiving, quality inspection, FNSKU labeling, poly bagging, bundling, packaging, and direct shipping to Amazon FBA and eBay fulfillment centers
- Fulfillment and warehousing: inventory storage, order processing, pick-and-pack services, and shipping logistics
- Automation and reporting: live dashboard access, weekly performance reports, Telegram support, and real-time business analytics
- Turnkey e-commerce business: fully managed investment-based e-commerce business setup and ongoing operations
Specific terms, deliverables, pricing, and timelines for each service are defined in individual contracts or commercial proposals agreed upon between the Company and the Client.
3. Use of the Website
By accessing our Website, you agree to:
- Use the Website only for lawful purposes and in accordance with these Terms
- Provide accurate and truthful information when submitting contact forms or inquiries
- Not attempt to gain unauthorized access to any part of the Website, its servers, or any connected systems
- Not use the Website to transmit malware, spam, or any other harmful or disruptive content
- Not reproduce, duplicate, or exploit any part of the Website for commercial purposes without our express written permission
4. Client Obligations
When engaging our services, the Client agrees to:
- Provide all necessary information, documentation, and access required for the performance of services in a timely manner
- Maintain the confidentiality of any account credentials and login details shared during the course of service delivery
- Comply with all applicable laws, including but not limited to Amazon Seller Central Terms of Service, eBay User Agreement, and relevant e-commerce platform policies
- Make payments in accordance with the agreed-upon schedule and payment terms
- Not engage in activities that could result in account suspension or violation of marketplace policies
- Promptly communicate any changes in business requirements, goals, or circumstances that may affect service delivery
5. Intellectual Property
All content on this Website — including but not limited to text, graphics, logos, icons, images, software, and design elements — is the property of ALLGOODSGROUP Sp z.o.o or its licensors and is protected by Polish and international copyright, trademark, and intellectual property laws.
You may not:
- Copy, modify, distribute, or reproduce any content from this Website without prior written consent
- Use our trademarks, trade names, or branding in any manner that suggests endorsement or affiliation without authorization
- Reverse engineer, decompile, or disassemble any software or technical systems used on or in connection with the Website
Content, listings, and materials created by the Company specifically for the Client as part of paid services shall be owned by the Client upon full payment, unless otherwise specified in the individual contract.
6. Payment Terms
General payment terms applicable to our services:
- All prices and fees are specified in individual contracts or commercial proposals and are quoted in the agreed currency (EUR, PLN, or USD)
- Payments are due according to the schedule outlined in the individual contract
- Late payments may incur interest at the rate permitted under Polish law (currently the statutory interest rate as defined by the Polish Civil Code)
- The Company reserves the right to suspend services in case of overdue payments exceeding 14 calendar days
- All payments are non-refundable unless explicitly stated otherwise in the individual contract or required by applicable consumer protection law
Invoices are issued in accordance with Polish tax regulations and are sent electronically to the Client's email address.
7. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information, business data, trade secrets, financial details, and other sensitive information exchanged during the course of the business relationship. This obligation includes but is not limited to:
- Business strategies, financial data, and performance metrics
- Supplier information, pricing structures, and sourcing methods
- Account credentials, access details, and technical configurations
- Terms of individual agreements and commercial proposals
This confidentiality obligation survives the termination of any contract for a period of 2 (two) years, unless the information becomes publicly available through no fault of either party.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our Website or services
- The Company's total aggregate liability for any claims arising under these Terms or any service agreement shall not exceed the total amount paid by the Client to the Company in the 12 months preceding the claim
- The Company does not guarantee specific revenue, profit, or sales results. E-commerce businesses are subject to market conditions, platform policies, competition, and other factors beyond our control
- The Company is not responsible for actions taken by third-party platforms (Amazon, eBay, Shopify, etc.), including but not limited to account suspensions, policy changes, or fee modifications
Nothing in these Terms shall exclude or limit liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Polish law.
9. Termination
Either party may terminate the business relationship in accordance with the terms set out in the individual contract. In the absence of specific termination provisions:
- Either party may terminate with 30 days' written notice sent to the other party's email address on file
- The Company may immediately terminate services if the Client breaches these Terms, engages in fraudulent activity, or violates marketplace policies in a way that poses risk to the Company
- Upon termination, the Client shall pay all outstanding fees for services rendered up to the date of termination
- The Company will provide reasonable assistance in transitioning account access and data to the Client or their designated representative
10. Force Majeure
Neither party shall be liable for failure to perform its obligations under these Terms if such failure results from circumstances beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government restrictions, power failures, internet outages, or actions by third-party platforms.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland.
Any disputes arising out of or in connection with these Terms shall be resolved as follows:
- Amicable resolution: The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice of the dispute.
- Mediation: If negotiation fails, the parties may agree to submit the dispute to mediation in Warsaw, Poland.
- Court jurisdiction: If the dispute is not resolved through negotiation or mediation, it shall be submitted to the exclusive jurisdiction of the courts of Warsaw, Poland (Sąd właściwy dla m.st. Warszawy).
12. Amendments
The Company reserves the right to modify these Terms at any time. Updated Terms will be published on this page with a revised "Last updated" date. Material changes will be communicated to active Clients via email.
Continued use of the Website or services after modifications constitutes acceptance of the updated Terms. If you do not agree with the changes, you should discontinue use of the Website and contact us regarding any active service agreements.
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
14. Entire Agreement
These Terms, together with our Privacy Policy and any individual service contracts, constitute the entire agreement between you and the Company regarding the use of our Website and services, superseding any prior agreements or communications.
